Dismantling the Capital Wall
For years, the Philippine ETF market remained the preserve of a small number of well-capitalized issuers, constrained by a ₱250 million minimum paid-up capital requirement that effectively excluded smaller domestic asset managers. PSE Circular No. 2026-0029 proposes to reduce that threshold to ₱50 million, while investment companies with at least five years of operating history could qualify with capital as low as ₱1 million. The scale of this reduction—an 80 percent cut for the general threshold and a 99.6 percent reduction for qualifying established firms—represents a fundamental recalibration of who can participate in the Philippine ETF ecosystem.
Expanding the Universe of Eligible Issuers
The proposed rules do not merely lower capital barriers; they broaden the categories of entities eligible to issue ETFs. Under the current framework, only open-end investment companies may serve as ETF issuers, and only shares of an ETF company may be listed on the exchange. The amendments would expand eligible entities to include unit investment trust funds (UITFs) and other collective investment schemes, while permitting the listing of fund units and other securities.
This eligibility expansion is particularly significant because UITFs already constitute a substantial segment of the Philippine collective investment landscape. By allowing UITF managers to potentially list ETF products, the PSE creates a bridge between the existing retail investment fund infrastructure and the exchange-traded product market. Asset managers with established UITF distribution channels could leverage those relationships to introduce active ETF offerings to an existing investor base.
Umbrella Structures and Sub-Fund Flexibility
A further structural innovation in the proposed rules is the authorization of umbrella fund arrangements. An ETF issuer would be permitted to offer and list multiple portfolios or sub-funds with different investment objectives and strategies under a single corporate umbrella—a departure from the current requirement that each ETF operate as a separate incorporated entity.
For new entrants, umbrella structures substantially reduce the legal, administrative, and compliance costs associated with launching multiple ETF products. Rather than incorporating a new entity for each strategy, an issuer can establish a single umbrella and add sub-funds as market demand dictates. This flexibility is particularly valuable for smaller managers seeking to test multiple strategies without committing to the full overhead of separate corporate structures.
Operational Simplification for New Issuers
The proposed rules also address operational friction points that disproportionately affect first-time ETF issuers. The requirement for two Authorized Participants would be reduced to one, and market makers would no longer be required to serve as Authorized Participants. For a smaller asset manager lacking existing relationships with multiple broker-dealers, these changes lower the practical difficulty of establishing the operational infrastructure required to support an ETF listing.
Competitive Dynamics and Market Implications
The cumulative effect of these reforms is likely to intensify competition in the Philippine ETF market. Incumbent issuers that previously enjoyed a relatively protected position may face new entrants offering differentiated active strategies. At the same time, the Philippine ETF market’s small absolute size—the iShares MSCI Philippines ETF, for example, reported net assets of approximately $128 million as of mid-2026—suggests that the addressable market may initially support only a limited number of new products.
PSE President Ramon Monzon’s stated objective—”reviving our ETF market”—will ultimately be tested by whether asset managers respond to the lower barriers with actual product launches. The consultation period and targeted fourth-quarter 2026 approval provide a window for prospective issuers to assess their product strategies and prepare for a potentially more crowded but also more dynamic ETF landscape.
